Terms and Conditions

1. Agreement

This proposal is open for acceptance within thirty (30) days only and is subject to change at any time before orders are accepted by us. This quotation is based upon current material prices and labor costs. We reserve the right to change quoted prices in accordance with changes in material prices and labor costs on the date of delivery.

This proposal and our acceptance of your order shall be binding upon us upon terms that indemnify us against all loss. If your order contains printed or stamped provisions inconsistent with this proposal, our proposal shall prevail. Clerical errors are subject to correction.

Prices are subject to applicable city, county, state, or federal taxes. Prices are based on continuous production of the quantities specified. If quantities are reduced or production is delayed or interrupted by the customer, additional charges may apply.

Re-orders for castings or finished products are considered to be placed under the same terms and conditions as the original contract unless otherwise agreed. Quotations remain valid for thirty (30) days from issuance. After that period, prices and terms may change without notice unless otherwise specified.

If the customer cancels an order, the customer agrees to reimburse us for completed work, work in progress, tooling, engineering expenses, and any lost profit.

2. Deliveries

Deliveries of samples and products are contingent upon strikes, fires, floods, wars, accidents, transportation delays, and other causes beyond our control.

Due to manufacturing variables, we reserve the right to manufacture and ship up to ten percent (10%) over or under the quantity ordered, and such quantities shall be accepted by the customer.

We assume no liability for loss or damage to merchandise or materials while in transit to or from our facility, regardless of the carrier.

3. Alloy, Finish & Machining

Castings will be produced from the material specified in the proposal and supplied with a smooth, natural finish. Unless otherwise specified, trimming, machining, drilling, tapping, reaming, polishing, buffing, electroplating, enameling, painting, assembly, and similar operations are not included.

4. Packing

Unless otherwise specified, cast parts will be bulk packed using containers deemed practical by us. Any special packaging or cartons requested by the customer will be charged accordingly.

5. Dies and Tools

Dies, tools, and fixtures are held at the customer’s risk. Customer tooling is not insured by us. We will maintain tooling in normal working condition during production and repair damage caused by us at no cost.

The customer is responsible for maintenance resulting from normal wear and tear, including but not limited to flash repairs, worn features, ejector pins, cores, and maintenance of customer-supplied tooling.

Tooling paid for by the customer becomes the customer’s property. However, tooling unused for three (3) years may be scrapped after advance notice. Ownership is governed by the Dies and Molds Ownership Transfer Act (765 ILCS 1053/1).

6. Patents

If parts manufactured on behalf of the customer infringe any patent or copyright, the customer agrees to indemnify and hold us harmless from all resulting claims, judgments, settlements, attorney fees, litigation expenses, and related losses.

7. Payments

We retain a lien on molds, tools, inserts, components, materials, and merchandise in our possession until all outstanding balances are paid.

Accounts delinquent for more than three (3) months may result in the sale of customer tooling. Past due invoices will incur a service charge equal to the lesser of 1.5% per month (18% annually) or the maximum rate permitted by law.

8. Miscellaneous

Where not otherwise provided, Section 8 – Commercial Practices of the North American Die Casting Association Product Specifications and Standards shall apply.

The customer is responsible for providing any required non-standard inspection gauges. Such gauges and methods must be agreed upon in writing before production.

9. Limitations of Liability – Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including but not limited to fire, flood, tornado, hurricane, explosion, terrorism, war, labor shortages, embargoes, governmental actions, acts of God, material shortages, transportation failures, communication outages, or similar events.

10. Product Liability

Products are manufactured according to customer specifications. The customer waives any claims based on product liability.

11. Allowances / Surcharges

We reserve the right to apply allowances or surcharges to quoted prices to reflect changes in the costs of metals, components, energy, or other factors beyond our control.

12. Promotion

Unless otherwise agreed, we may use photographs, sketches, and representations of customer products and tooling for marketing and advertising purposes.

13. Indemnification

Cast Products, Inc. does not provide indemnification or insurance to its customers.

14. Meetings

Standard design, quality, and tooling kickoff meetings are included. Additional meetings or special requests beyond normal business practices may incur service charges.

15. Additional Services

Additional services not included in the original quotation, such as pre-production sorting, extra sample runs, or annual PPAP resubmissions, are subject to additional charges.

16. Quality Levels

Cast Products follows ANSI/ASQ Z1.4-2008 guidelines using an AQL of 1.5 unless otherwise agreed. More stringent quality requirements, including zero-defect programs, will be quoted separately.

17. Defective Material

Minor surface imperfections are considered normal in die casting unless otherwise agreed in writing.

Defective parts may be replaced or credited at our discretion provided written notice is received within thirty (30) days of receipt. Claims for labor, transportation, or consequential damages will not be accepted.

No warranties, express or implied, including merchantability or fitness for a particular purpose, are provided except as specifically stated in writing.

18. Sample Submissions

Sample parts will be submitted for approval after tooling completion. Approved samples constitute acceptance of production standards.

Changes requested after tooling has begun, additional documentation, extra quality services, or unpaid tooling balances may result in additional charges or suspension of work until payment is received.

19. Takeover Tooling

Customer-supplied tooling is accepted on an “as-is” basis. Production pricing may change based on actual tool performance or part weight. Required modifications identified during inspection will be quoted before production begins.
